This Video Submission Release Agreement ("Agreement") is entered into between the undersigned video submitter ("Submitter") and Lapeer Development Corporation ("LDC"), located at 449 McCormick Drive, Lapeer, Michigan 48446, in connection with the submission of video content for participation in a contest for prize money.

1. Grant of Rights
By submitting the video ("Video") to LDC, Submitter hereby grants LDC and its affiliates, licensees, and assigns, a perpetual, worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, display, perform, and create derivative works from the Video, in whole or in part, in any media now known or hereafter developed, for any purpose, including but not limited to promotional, advertising, and commercial uses, without further notice or compensation to the Submitter.

2. Ownership and Consent
Submitter represents and warrants that they are the sole owner of the Video or have obtained all necessary rights, licenses, consents, and permissions from any third parties, including any individuals appearing in the Video, to submit the Video to LDC and to grant the rights granted herein. If the Video includes images, voices, or any other identifying features of minor children, Submitter affirms that they have obtained express written consent from the parents or legal guardians of each minor child featured.

3. Responsibility and Indemnification
Submitter agrees to indemnify, defend, and hold harmless LDC and its officers, directors, employees, agents, affiliates, and assigns from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to the Video or any breach of this Agreement. This includes, but is not limited to, any claims related to copyright infringement, invasion of privacy, defamation, or any other legal claims arising from the use of the Video, as well as any claims related to the appearance of minor children without proper consent.

4. Prize Money and Liability
Submitter understands and agrees that any prize money awarded will only be issued to the individual or individuals listed as the Submitter on the official Video submission form. LDC is not liable for any disputes or legal proceedings arising from the allocation or distribution of prize money. LDC’s decision on the prize awards is final and binding, and LDC shall have no obligation to discuss or reconsider any prize decisions.

5. No Obligation to Use
LDC is under no obligation to use, publish, or display the Video in any manner. LDC reserves the right, in its sole discretion, to reject any Video submission for any reason.

6. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved exclusively in the state or federal courts located in Lapeer County, Michigan.

7. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous oral or written agreements concerning such subject matter. No amendment or modification of this Agreement shall be binding unless in writing and signed by both parties.
